Ethos Group does not assume any responsibility for the (i) content of, (ii) technology implemented by, or (iii) privacy practices of third-party websites and all use is at your own risk. You should review the privacy policy and terms of use for each third-party website and confirm they are acceptable prior to use of the website. Links to third-party websites do not imply endorsement of the websites by Ethos Group. In no event shall Ethos Group be liable, directly or indirectly, to anyone for any loss or damage arising from the use of the linked websites or the information or material accessed through such websites including, without limitation, any incidental, special, or consequential damages of any kind whatsoever, attorneys' fees and lost profits or savings.

WITHOUT LIMITING THE FOREGOING, NEITHER ETHOS GROUP NOR ANYONE ASSOCIATED WITH ETHOS GROUP REPRESENTS OR WARRANTS THAT THE WEBSITE, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

13.3 ETHOS GROUP HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.

13.4 THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
14. Limitation on Liability

14.1 IN NO EVENT WILL ETHOS GROUP, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY CONTENT ON THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE, SUCH AS ANY ERRORS IN OR OMISSIONS FROM THE WEBSITE, INCLUDING, BUT NOT LIMITED TO, TECHNICAL INACCURACIES AND TYPOGRAPHICAL OR SCRIVENER’S ERRORS , ANY THIRD-PARTY WEBSITES OR CONTENT THEREIN DIRECTLY OR INDIRECTLY ACCESSED THROUGH LINKS ON THE WEBSITE, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS IN OR OMISSIONS THEREFROM ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

15. Indemnification

15.1 You agree to indemnify, defend and hold Ethos Group and its parent companies, officers, shareholders, employees, and affiliates harmless from any liability, loss, claim, and expense, including reasonable attorney's fees, related to your violation of this Agreement or use of the Website.

16. Mobile Application Users
​
16.1 With respect to each of Ethos Group’s mobile applications (each an “App”), when you download an App, or you create an account on the App, by selecting “I agree to the Terms and Conditions”, or similar, you are expressly agreeing that you have read, understand, and agree to be bound by these Terms of Use. Ethos Group makes the App (or Apps) available so that users may access Ethos Group’s services via a mobile device. To use the App you must have a compatible mobile device to which Ethos Group hereby does not warrant or guarantee compatibility with your mobile device. Ethos Group hereby grants to you a non-exclusive, non-transferable, revocable license to use an object code copy of the App for one registered account on a mobile device owned or leased solely by you. You may not: (i) modify, disassemble, decompile, reverse engineer or create derivative works of the App, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the App to any third-party; (iii) copy, reproduce, republish, upload, post, transmit or distribute the App in any way, unless specifically allowed in these Terms of Use; (iv) remove, circumvent, disable, damage or otherwise interfere with the security features of the App such as features that prevent or restrict use or copying of any content accessible through the App, or features that enforce limitations on use of the App; or (v) delete the copyright and other proprietary rights notices on the App. You acknowledge that Ethos Group may from time-to-time issue upgraded versions of the App and may automatically electronically upgrade the version of the App that you are using on your mobile device. You consent to such automatic upgrading on your mobile device and agree that the terms and conditions of these Terms of Use will apply to all such upgrades. The foregoing license grant is not a sale of the App or any copy thereof, and Ethos Group and its third-party licensors or suppliers retain all right, title, and interest in and to the App (and any copy of the App). Standard carrier data charges may apply to your use of the App.

16.2 With respect to any App that Ethos Group provides to you designed for use on an Apple, Inc. iOS-powered mobile device (an “iOS App”), these Terms of Use incorporate by reference the terms and conditions of the “Standard” Licensed Application End User License Agreement (“LAEULA”) published by Apple, Inc. (www.apple.com/legal/macapps/dev/stdeula). For purposes of these Terms of Use, Ethos Group’s iOS App is considered the “Licensed Application” and Ethos Group is considered the “Application Provider” under the LAEULA To the extent that these Terms of Use conflict with any of the terms and conditions of the LAEULA, these Terms of Use shall control.

17. Disputes
​
17.1 Any claim or controversy arising out of or relating to your use of the Website or the Terms of Use, whether in law or in equity, and whether such claim arises in tort, contract, equity or otherwise, shall be resolved by binding and confidential arbitration administered by the American Arbitration Association in Dallas County, Texas, in accordance with its then existing commercial arbitration rules, except that such dispute shall only be before a single arbitrator. The arbitrator shall have exclusive authority to determine whether any particular claim or controversy is arbitrable and covered by this provision. The parties further agree that no arbitrator has the authority to: (1) award relief in excess of what the Terms of Use provide; or (2) order consolidation or class arbitration, consolidate more than one person’s claims, and may not otherwise preside over any form of a representative class proceeding. Any award by the arbitrator shall be final and binding upon the parties and may be enforced by judgment of any competent court having jurisdiction over either party. Notwithstanding the arbitration provisions described in this section, the parties will at all times retain the right to seek injunctive relief (but not monetary damages) in any court in Dallas County, Texas for (i) a breach of these Terms of Use, (ii) controversies relating to the enforcement of trademark, copyright, patent or other intellectual property rights, and (iii) disputes related to confidential information.

17.2 You acknowledge and agree that each party shall pay the fees and costs of its own attorneys, experts, and witnesses incurred in connection with any arbitration or court proceeding between the parties notwithstanding any prevailing party’s attorneys’ fees provision a part of any statute under which you may bring a claim.

17.3 The Terms of Use shall be governed by the laws of the state of Texas. The validity, effect, and enforceability of the arbitration provisions of the Terms of Use.
